Terms of Service

The service

Brimloop is a software-as-a-service platform for Amazon sellers. It provides demand forecasting, replenishment planning, and buy-box pricing, with additional capabilities on our roadmap. Features may evolve over time.

Eligibility and accounts

You must be at least the age of majority in your jurisdiction and authorized to bind the business you represent. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

Fees and billing

Brimloop is offered on the subscription plans described on the pricing page. New users may begin with a free trial; fees are waived only for that trial or for any stated promotional period. Plan features and fees may change; where we do, we will provide reasonable notice.

Connecting your Amazon account

To use core features you authorize Brimloop to access your Amazon Selling Partner data through Amazon's SP-API. That access and our handling of the data are described in our Privacy Policy. You may disconnect at any time. You are responsible for complying with Amazon's applicable agreements and policies, and you represent that you are authorized to grant this access.

Acceptable use

You agree not to:

• use the service in violation of any law or of Amazon's policies;
• attempt to access data or workspaces that are not yours, or to circumvent our security or per-tenant isolation;
• reverse-engineer, copy, resell, or sublicense the service except as permitted by law;
• interfere with or disrupt the integrity or performance of the service;
• upload or transmit unlawful, infringing, or malicious content.

Your data and intellectual property

As between you and us, you retain all rights to your business data. You grant us a limited license to process that data solely to provide and improve the service for you, as described in our Privacy Policy. We retain all rights in the Brimloop software, models, and brand. Recommendations and outputs generated for you are yours to use in your business.

Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Brimloop's forecasts, replenishment suggestions, and pricing recommendations are decision-support tools, not guarantees of results; you are solely responsible for your business decisions, pricing, inventory commitments, and regulatory compliance.

Limitation of liability

To the maximum extent permitted by law, Brimloop and Anorcap Private Limited will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost sales, arising out of or relating to the service. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the service will not exceed the greater of the amounts you paid us for the service in the 12 months before the claim (which may be zero during a free trial or promotional period) or ₹10,000.

Term and termination

Either party may terminate at any time. You may stop using the service and disconnect your Amazon authorization whenever you wish. We may suspend or terminate access if you breach these Terms or to protect the service or other users. On termination, we delete your data as described in our Privacy Policy (including deletion of Amazon data within 30 days), subject to legal retention requirements.

Governing law

These Terms are governed by the laws of India, without regard to conflict-of-laws rules, and the courts of Bengaluru, Karnataka will have exclusive jurisdiction over any dispute, subject to any mandatory rights you may have in your place of residence.

Changes to these Terms

We may update these Terms from time to time. We will revise the "last updated" date above, and your continued use of the service after changes take effect constitutes acceptance.
